Follow this exact structure I use in my practice:
Include your full name, company (if applicable), address, phone, and email at the top left.
Use certified mail with return receipt – this creates undeniable proof of delivery.
Example: Re: Notice of Breach of Independent Contractor Agreement dated March 15, 2025 between ABC Corp and John Doe
Sample breach of contract letter opening:
“This letter serves as formal notice that you are in material breach of the [name/description of contract] dated [date] (the “Agreement”).”
Quote or attach the exact sections. Cite paragraph numbers.
Be specific with dates, amounts, and evidence.
Example: “Section 4.2 required completion of Phase 1 drywall installation by October 1, 2025. As of November 18, 2025, zero drywall has been installed despite our payment of the $45,000 mobilization fee on September 1, 2025.”
Give a reasonable time (usually 10–30 days) unless the contract specifies otherwise.
Reserve rights to terminate, sue for damages, seek specific performance, etc.
End with “Sincerely” or “Very truly yours,” followed by your typed name and title. Send via certified mail AND email.
