A well-drafted marketing consulting contract protects both parties by clearly defining scope, deliverables, payment schedules, intellectual property ownership, confidentiality, and termination rights.

The most fought-over clause in every marketing consulting relationship. Here’s how I draft it:
1. Services. Consultant shall provide the marketing and advertising services described in Exhibit A (“Services”). Any additional services not listed in Exhibit A shall require a written amendment signed by both parties and may result in additional fees.
I always attach Exhibit A as a separate page so you can update the scope without rewriting the entire contract.
The IRS is increasingly aggressive about misclassification. This language has survived multiple audits:
7. Independent Contractor. Consultant is an independent contractor and not an employee of Client. Consultant shall be solely responsible for payment of all federal, state, and local taxes including income, FICA, and employment taxes. See IRS Publication 15-A and Form SS-8 at IRS.gov.
