Setting up a single member LLC in Ohio is one of the smartest moves I’ve made in my 15 years of helping entrepreneurs and small-business owners protect their personal assets. As a business attorney who has drafted and reviewed hundreds of LLC documents, I can tell you that even though Ohio does not legally require a single-member LLC operating agreement, having one is absolutely critical for liability protection, tax flexibility, and future-proofing your company. In this guide, I’m giving you my battle-tested, attorney-reviewed Ohio single member LLC operating agreement template completely free, along with step-by-step instructions on how to customize it correctly.

Ohio Revised Code § 1706.01 et seq. (the new Ohio Revised Limited Liability Company Act effective 2022) explicitly states that an operating agreement is not mandatory for filing with the Ohio Secretary of State. However, the IRS and courts nationwide – including Ohio state courts – look for a written operating agreement to confirm that you are treating your LLC as a separate legal entity.
In my experience representing single-member LLC owners who faced lawsuits or IRS audits, the ones without a solid operating agreement were far more likely to have their personal assets exposed (a process called “piercing the corporate veil”). A properly executed single member LLC operating agreement Ohio template solves this problem in one document.
After refining this document through dozens of real client matters, the 2025 version contains everything Ohio courts and the IRS expect to see:
| Section | Purpose |
|---|---|
| 1. Formation & Statutory Compliance | References Ohio Revised Code Chapter 1706 |
| 2. Name, Registered Agent, Principal Office | Pulls directly from your Articles of Organization |
| 3. Purpose Clause & Powers | Broad “any lawful business” language plus specific powers |
| 4. Single Member Identification | Clearly identifies you as the sole member |
| 5. Capital Contributions | Tracks initial and additional contributions (critical for tax basis) |
| 6. Distributions & Allocations | 100% to the single member; prevents default multi-member rules |
| 7. Management | Member-managed by default with full authority language |
| 8. Tax Treatment Election Options | Placeholder for disregarded entity, C-corp, or S-corp election |
| 9. Books, Records, and Accounting | Meets IRS and Ohio record-keeping requirements |
| 10. Dissolution and Winding Up | Follows Ohio Revised Code 1706.471 et seq. |
| 11. Miscellaneous Provisions | Severability, governing law (Ohio), counterparts, etc. |
Follow these steps I give every client:
By default, a single-member LLC is taxed as a disregarded entity (Schedule C on your personal 1040). However, my template includes clear language allowing you to elect corporate taxation (Form 8832) or S-corporation status (Form 2553) – which can save thousands in self-employment taxes once you exceed roughly $50,000–$70,000 in net profit. Do I have to file the operating agreement with the Ohio Secretary of State?
No. It is an internal document only.
Can I write my own instead of using a template?
You can, but most DIY versions I review in audits miss critical provisions that courts rely on.
Does a single-member LLC need an operating agreement in Ohio to get an EIN?
The IRS online EIN application no longer requires it as of 2023, but most banks still do.
What if I eventually add a second member?
Simply amend or replace with a multi-member agreement – the single-member version protects you until then.
