Clearly identifies the Brand (or Agency) and the Influencer/Content Creator. I always include both legal names and any “doing business as” (DBA) or channel names for clarity.
This is the heart of every influencer marketing contract template. Be excruciatingly specific:
Spell out dollar amounts, payment schedule (50% upfront / 50% on approval is common), payment method (PayPal, Wise, ACH), and late payment interest (I use 1.5% per month).
If you’re paying with product only (“gifting”), you still need a contract for rights and disclosure obligations.
One of the most overlooked sections. Brands typically want a perpetual, worldwide, royalty-free license to repost on their own channels and paid ads. Influencers often push back to 12–24 months. My template includes tiered options so you can pick what fits.
Common in beauty, fitness, and finance niches. Example: “Influencer shall not promote competing weight-loss supplements for 60 days before and 90 days after the Campaign.”
I include mandatory language citing 16 CFR Part 255. Example:
“Influencer shall clearly and conspicuously disclose the material connection in every post using #ad or #sponsored placed in the first three lines…”
Influencer warrants that:
Both sides agree to cover the other for breaches. Crucial if the influencer posts something defamatory or copyrighted.
Typical kill fee structure I use:

Most U.S. brands choose their home state (e.g., “Governed by the laws of California”). I include mandatory mediation before litigation to save everyone money.
Independent contractor status (critical for IRS purposes), no assignment without consent, force majeure, etc.
Instagram’s Branded Content Tool is now mandatory for paid posts in most cases. My template includes a clause requiring the influencer to properly tag the brand as a paid partnership and grant Business Content Rights.
For TikTok: Require “Duet/Stitch” permissions if you plan to repurpose.
For YouTube: Specify whether the video must remain “Unlisted” vs “Public” and end-screen/card requirements.
