Why You Need a Strong Contract Manufacturing Agreement in 2025

Whether you’re a brand owner outsourcing production to a U.S. contract manufacturer or a contract manufacturer (CM) taking on new clients, a clear written manufacturing agreement is non-negotiable. 1. Product Specifications & Quality Control

Attach detailed specifications (drawings, BOM, acceptance criteria) as Exhibit A. Include incoming inspection rights, AQL standards, and corrective action procedures.

2. Pricing & Payment Terms

Specify whether pricing is fixed, cost-plus, or subject to annual review. Include raw material escalation clauses tied to BLS Producer Price Index or actual documented increases.

3. Intellectual Property Ownership

Clearly state that the Customer owns all foreground IP (new designs, improvements made during the contract) while the Manufacturer retains background IP with a broad license to the Customer.

4. Forecasting & Purchase Orders

Require rolling 6–12 month forecasts with binding commitments for the first 3 months and liability for raw materials/long-lead items on cancellation.

5. Warranties & Epidemic Failure

Include an “epidemic failure” clause triggering 100% remediation cost responsibility if defect rates exceed an agreed threshold (typically 1–3%).

6. Indemnification & Insurance

Mutual indemnification for IP infringement, personal injury, and regulatory non-compliance. Require $2–5M in CGL and product liability insurance naming the Customer as additional insured.

7. Termination & Exit Strategy

Allow termination for material breach (30-day cure), insolvency, or convenience with 90–180 days’ notice. Include mandatory purchase of finished goods and unique raw materials at termination.
