As a U.S. business attorney with over 12 years drafting and negotiating manufacturing and supply agreements for companies across industries ranging from consumer electronics to medical devices and food products, I’ve reviewed hundreds of contract manufacturing agreements. One of the most frequent requests I receive from startups and mid-size companies is for a solid, free manufacturing agreement template that is free, customizable, and actually compliant with U.S. law.
That’s why I’m giving away my battle-tested contract manufacturing agreement PDF template completely free. This 2025-updated manufacturing agreement template has been used (and stress-tested in real disputes) by dozens of my clients and is now available for immediate download below.

Whether you’re a brand owner outsourcing production to a U.S. contract manufacturer or a contract manufacturer (CM) taking on new clients, a clear written manufacturing agreement is non-negotiable. The International Trade Administration reports that disputes over quality, delivery delays, and intellectual property ownership are among the top causes of supply-chain litigation in the United States.
A well-drafted manufacturing agreement template protects both parties by addressing:
After negotiating more than 150 manufacturing agreements, these are the clauses I never omit:
Attach detailed specifications (drawings, BOM, acceptance criteria) as Exhibit A. Include incoming inspection rights, AQL standards, and corrective action procedures.
Specify whether pricing is fixed, cost-plus, or subject to annual review. Include raw material escalation clauses tied to BLS Producer Price Index or actual documented increases.
Clearly state that the Customer owns all foreground IP (new designs, improvements made during the contract) while the Manufacturer retains background IP with a broad license to the Customer.
Require rolling 6–12 month forecasts with binding commitments for the first 3 months and liability for raw materials/long-lead items on cancellation.
Include an “epidemic failure” clause triggering 100% remediation cost responsibility if defect rates exceed an agreed threshold (typically 1–3%).
Mutual indemnification for IP infringement, personal injury, and regulatory non-compliance. Require $2–5M in CGL and product liability insurance naming the Customer as additional insured.
Allow termination for material breach (30-day cure), insolvency, or convenience with 90–180 days’ notice. Include mandatory purchase of finished goods and unique raw materials at termination.
I’ve incorporated all of the above (and much more) into this free template. It is drafted neutrally so it works whether you represent the brand or the contract manufacturer.

| Section | Recommended Customization | Common Mistakes to Avoid |
|---|---|---|
| Payment Terms | Net 30 is standard; consider progress payments for tooling | Don’t accept “payment upon sale” if you’re the manufacturer |
| MOQ & Lead Time | Match your actual production capacity and supply chain reality | Promising unrealistic lead times leads to liquidated damages |
| Governing Law | Choose Delaware, New York, or California for predictability | Avoid foreign governing law unless you have local counsel |
| Force Majeure | 2025 version includes pandemics, cyber attacks, and port congestion | Older templates still exclude pandemics — update them! |
Yes. The template uses neutral language compliant with the Uniform Commercial Code (UCC Article 2) and general U.S. contract law. Specific state nuances (e.g., California’s strict indemnity rules) should be reviewed by local counsel.
The core template works, but you’ll want to add CISG opt-out, ICC arbitration, and U.S. governing law clauses. I offer an international version separately.
Yes. For pharmaceuticals, medical devices, and certain food products, the FDA expects a standalone Quality Agreement. See FDA Guidance (2016) at fda.gov.
Absolutely. The template includes an optional Tooling Exhibit that lets you choose Customer-owned, Manufacturer-owned with buyout option, or paid-up license.
